Welcome to LOGINOUT.

LOGINOUT was created to connect people, producers, buyers, suppliers, consultants, logistics partners and sustainable opportunities across borders. Every strong connection requires clarity, responsibility and mutual respect.

These Terms and Conditions (“Terms”) explain the rules governing access to and use of the LOGINOUT website, digital platform, marketplace, software functions and related services.

By creating an account, submitting information, offering or purchasing products or services, or otherwise using LOGINOUT, you agree to these Terms.

Where a separate written agreement has been concluded between LOGINOUT and a user, that agreement shall take precedence over these Terms to the extent of any conflict.

If you do not agree with these Terms, you must not use the platform or its services.

2. The Purpose of LOGINOUT

LOGINOUT is an international business ecosystem designed to create meaningful and sustainable connections between producers, suppliers, buyers, investors, consultants, logistics providers and strategic partners.

The LOGINOUT ecosystem may include:

  • Certified organic products

  • Sustainable international trade

  • International logistics

  • Carbon credit solutions

  • Strategic business consulting

  • Knowledge and publishing

  • Ecotourism

  • Supplier and buyer development

  • Digital marketplace services

  • International business networking

  • Sustainable business development

LOGINOUT may introduce parties, provide digital infrastructure, support communication, organize information and documents, facilitate transactions and, where separately agreed, coordinate specific commercial or consulting services.

The precise role of LOGINOUT in any transaction depends on the information presented for the respective service and any separate agreement entered into by the parties.


3. Scope of These Terms

These Terms apply to:

  • Website visitors

  • Registered users

  • Buyers

  • Suppliers

  • Producers

  • Consultants

  • Business partners

  • Marketplace participants

  • Users of LOGINOUT digital services

Some areas or services may be subject to additional terms, policies or contractual arrangements.

Relevant documents may include:

  • Privacy Policy

  • Cookie Policy

  • Buyer Protection Policy

  • Shipping Policy

  • Right of Withdrawal Policy

  • Individual commercial agreements

  • Supplier or consultancy agreements

  • Payment and logistics conditions

These documents form part of the applicable contractual framework where expressly incorporated.


4. Business Users and Consumers

LOGINOUT is primarily designed for international business relationships and B2B activities.

A business user is a natural or legal person acting in the course of a commercial, professional or independent activity.

A consumer is a natural person acting mainly for purposes outside their commercial or professional activity.

Certain provisions of these Terms apply differently to consumers and business users. Mandatory consumer protection rights remain unaffected.

Users acting on behalf of a company confirm that they are authorized to represent and legally bind that company.


5. Eligibility

To create an account or enter into commercial transactions through LOGINOUT, users must:

  • Be at least 18 years old

  • Have full legal capacity

  • Provide accurate and complete information

  • Be legally authorized to represent any company named in the account

  • Comply with applicable laws and regulations

  • Not be subject to sanctions or legal restrictions preventing participation

LOGINOUT may request documents reasonably necessary to verify identity, authority, company registration, certification or business legitimacy.


6. User Accounts

Users may be required to create an account to access certain services.

Users are responsible for:

  • Maintaining the confidentiality of login credentials

  • Using strong and secure passwords

  • Preventing unauthorized access

  • Keeping account and company information current

  • Informing LOGINOUT promptly of suspected misuse

  • All activities carried out through their accounts

Accounts are personal to the registered user or assigned company and may not be sold, transferred or shared without prior authorization.

LOGINOUT may introduce additional authentication or security requirements where reasonably necessary.


7. Accuracy and Verification of Information

Trust begins with accurate information.

Users must ensure that all information, documents, certifications, product descriptions, business data and representations submitted to LOGINOUT are truthful, lawful, complete and current.

LOGINOUT may review or verify certain information but is not obliged to independently verify every statement or document submitted by users.

Verification by LOGINOUT does not constitute a guarantee of:

  • Financial stability

  • Product quality

  • Regulatory approval

  • Contractual performance

  • Certification validity beyond the verified document

  • Future conduct of a user

Users remain responsible for conducting appropriate commercial, technical and legal due diligence before entering into a transaction.


8. Acceptable Use

Users must use LOGINOUT responsibly, respectfully and only for lawful purposes.

Users must not:

  • Submit false, incomplete or misleading information

  • Impersonate another person or company

  • Use documents or certifications without authorization

  • Offer illegal, unsafe, counterfeit or prohibited products

  • Violate sanctions, customs, tax or trade regulations

  • Upload viruses, malicious software or harmful code

  • Attempt unauthorized access to accounts, systems or data

  • Interfere with the security or operation of the platform

  • Scrape, harvest or misuse user or business data

  • Circumvent platform security or payment processes

  • Infringe intellectual property or confidentiality rights

  • Engage in fraud, corruption, money laundering or deceptive conduct

  • Harass, threaten or discriminate against other users

  • Publish unlawful, defamatory or harmful content

  • Use LOGINOUT in a manner that unjustifiably damages its users, partners or reputation

LOGINOUT may investigate suspected violations and take proportionate measures, including warnings, content removal, account restrictions, suspension or termination.


9. Marketplace and Platform Role

Unless expressly stated otherwise in a separate agreement, LOGINOUT acts as a digital platform and business facilitator connecting independent commercial parties.

Depending on the specific transaction, LOGINOUT may not be:

  • The manufacturer

  • The producer

  • The seller

  • The exporter

  • The importer

  • The carrier

  • The insurer

  • The certification body

  • The legal representative of a user

Independent suppliers remain responsible for their products, services, statements, certifications and contractual obligations.

Independent buyers remain responsible for assessing product suitability, import requirements, commercial terms and intended use.

Where LOGINOUT itself is identified as the seller, service provider or contractual party, the relevant offer and separate contractual terms will apply.


10. Product and Service Listings

Suppliers are responsible for ensuring that listings contain accurate and legally compliant information, including where applicable:

  • Product identity

  • Origin

  • Ingredients and characteristics

  • Quantity and packaging

  • Certifications

  • Technical specifications

  • Availability

  • Price or pricing basis

  • Taxes and additional charges

  • Delivery conditions

  • Minimum order quantities

  • Regulatory limitations

  • Images and documentation

Product photographs and illustrations may be representative. Material characteristics must be stated clearly in the relevant offer or contract.

LOGINOUT may correct formatting, request clarification, restrict visibility or remove listings that appear inaccurate, incomplete, misleading or unlawful.


11. Orders, Requests and Contract Formation

The presentation of products or services on LOGINOUT does not necessarily constitute a legally binding offer.

Unless expressly stated otherwise, listings may represent an invitation to submit an inquiry, request a quotation or begin commercial negotiations.

A binding contract is formed only when:

  • An offer is expressly accepted;

  • An order is confirmed by the relevant contractual party; or

  • A separate agreement establishes another method of formation.

The identity of the seller or service provider must be made clear before the conclusion of a binding transaction.

Prices, quantities, payment terms, delivery dates, Incoterms, specifications and responsibilities should be confirmed in writing.


12. Prices, Fees and Taxes

Applicable prices, platform fees, commissions or service charges will be communicated before the relevant paid service or transaction becomes binding.

Unless otherwise stated:

  • Prices may exclude VAT, customs duties and other taxes;

  • International shipping and insurance may be charged separately;

  • Currency conversion and banking costs may apply;

  • Import duties and local charges may be payable by the buyer.

Users are responsible for their own tax, accounting and reporting obligations.

LOGINOUT will not impose undisclosed charges.


13. Payments

Payments may be processed by LOGINOUT or through independent payment service providers.

The payment options available may depend on:

  • The type of transaction

  • The parties involved

  • The destination country

  • Regulatory requirements

  • The selected payment provider

Third-party payment providers process data and payments under their own terms and privacy policies.

Users must provide accurate payment information and ensure that they are authorized to use the selected payment method.

Payment processing does not in itself guarantee delivery, product conformity or contractual performance by an independent supplier.


14. Shipping, Delivery and International Trade

Shipping arrangements depend on the relevant product, supplier, destination and contractual agreement.

The parties should clearly define:

  • Delivery location

  • Preparation and delivery times

  • Packaging requirements

  • Shipping method

  • Applicable Incoterms

  • Transport insurance

  • Export and import documentation

  • Customs responsibilities

  • Risk transfer

  • Inspection procedures

Estimated delivery dates are not guaranteed unless expressly agreed in a binding contract.


15. Certifications and Sustainability Information

Users may provide information concerning organic, environmental, social, carbon or sustainability certifications.

The party providing such information is responsible for ensuring that:

  • The certification is authentic;

  • It is current and valid;

  • It applies to the relevant product, company or project;

  • Its scope is accurately described;

  • Logos and marks are used with permission.

LOGINOUT may review certification documents but does not replace the issuing or auditing body.

Sustainability statements must not be misleading or unsupported.


16. Carbon Credits and Environmental Projects

Carbon credit projects and environmental instruments may be subject to specialized legal, technical, verification and registry requirements.

Information made available through LOGINOUT does not constitute legal, financial or investment advice.

Before purchasing, selling or investing in carbon-related instruments, users should conduct independent due diligence and obtain suitable professional advice.

Specific carbon credit projects may be governed by separate agreements and verification standards.


17. Consulting, Knowledge and Publishing

Consulting, educational and publishing services may include research, strategic guidance, reports, articles, presentations, training or project support.

Unless expressly agreed otherwise:

  • Such content is informational;

  • It does not replace legal, tax, medical, technical or financial advice;

  • Results depend on the information supplied and the circumstances of each project;

  • No particular commercial outcome is guaranteed.

Specific consultancy assignments may be governed by separate scope, fee, confidentiality and liability terms.


18. User Content

Users may submit product descriptions, company profiles, photographs, documents, messages, certifications and other content.

Users retain ownership of their content.

By submitting content to LOGINOUT, users grant LOGINOUT a non-exclusive, worldwide, royalty-free and revocable license, to the extent technically and commercially necessary, to:

  • Store the content

  • Display it on the platform

  • Format or translate it

  • Reproduce it for platform operation

  • Share it with intended business recipients

  • Use it to provide the requested services

This license ends when the content is deleted, except where continued retention is legally required or technically necessary for completed transactions, evidence or backups.

Users confirm that they possess all rights and permissions required to submit the content.


19. Intellectual Property

LOGINOUT and its original content, including its:

  • Name and trademarks

  • Logo and visual identity

  • Website structure

  • Software and source code

  • Databases

  • Texts and publications

  • Graphics and illustrations

  • Documentation

  • Business concepts

  • Platform architecture

  • Designs and presentations

are protected by German, European and international intellectual property laws.

No protected content may be copied, modified, reverse-engineered, distributed, republished or commercially exploited without prior written authorization.

Use of the platform does not transfer any ownership or intellectual property rights to users.


20. Confidentiality

Business information exchanged through LOGINOUT may be commercially sensitive.

Users must treat confidential information responsibly and use it only for the purpose for which it was disclosed.

Confidential information may include:

  • Prices and quotations

  • Supplier and buyer details

  • Business plans

  • Technical documentation

  • Product formulations

  • Commercial contacts

  • Project information

  • Non-public certifications and reports

Separate confidentiality or non-disclosure agreements remain unaffected.


21. Data Protection

LOGINOUT processes personal data in accordance with its Privacy Policy and applicable data protection laws.

Users must not collect, copy, disclose or misuse personal data obtained through the platform.

Where users independently process personal data, they are responsible for complying with their own legal obligations.

22. Third-Party Services and Links

LOGINOUT may integrate or link to services provided by third parties, including:

  • Payment providers

  • Logistics companies

  • Certification bodies

  • Cloud and hosting providers

  • Communication tools

  • External websites

Third-party services are subject to their own terms, availability and privacy practices.

LOGINOUT is not responsible for the independent actions, content or technical performance of third-party providers, except where mandatory law provides otherwise.


23. Platform Availability

LOGINOUT aims to provide reliable and continuously improving digital services.

However, uninterrupted or error-free availability cannot be guaranteed.

Services may be temporarily restricted due to:

  • Maintenance

  • Software updates

  • Security measures

  • Technical failures

  • Internet or hosting interruptions

  • Cyber incidents

  • Legal or regulatory requirements

  • Circumstances beyond reasonable control

LOGINOUT will seek to minimize avoidable disruption.


24. Suspension and Termination

Users may stop using LOGINOUT and request account closure at any time, subject to outstanding contractual or legal obligations.

LOGINOUT may restrict, suspend or terminate an account where reasonably necessary, including in cases of:

  • Material breach of these Terms

  • Suspected fraud or unlawful activity

  • Security threats

  • Non-payment

  • Misuse of the platform

  • False or misleading information

  • Repeated complaints

  • Legal or regulatory requirements

Where reasonably possible, users will be informed of the reason and given an opportunity to respond.

LOGINOUT may preserve information required for legal compliance, dispute resolution or enforcement.


25. Consumer Right of Withdrawal

Consumers may have a statutory right to withdraw from certain distance or off-premises contracts within fourteen days.

The starting date, consequences and exceptions depend on the type of contract and the circumstances of performance or delivery.

Mandatory consumer rights remain unaffected.


26. Defective Products and Statutory Rights

Nothing in these Terms excludes or limits statutory rights relating to defective, unsafe, damaged or incorrectly delivered products.

Consumers retain all mandatory rights under German and European consumer protection law.

For B2B transactions, warranties, inspection duties, notification periods and remedies may be regulated separately in the relevant commercial contract.


27. Liability of LOGINOUT

LOGINOUT is liable without limitation where liability is required by law, including for:

  • Intentional conduct

  • Gross negligence

  • Injury to life, body or health

  • Fraudulent concealment

  • Express guarantees

  • Liability under the German Product Liability Act

In cases of ordinary negligence, LOGINOUT is liable only for breach of an essential contractual obligation whose fulfilment is necessary for proper performance and on which the user may ordinarily rely.

In such cases, liability is limited to the foreseeable damage typical for the contract.

For consumers, mandatory statutory liability rights remain unaffected.

Where LOGINOUT acts only as an intermediary, it is not responsible for the independent performance of contracts between buyers, suppliers and other third parties.


28. Responsibility of Users

Users are responsible for losses or claims caused by their unlawful or culpable breach of these Terms.

Business users shall compensate LOGINOUT for justified third-party claims resulting from:

  • Unlawful user content

  • Infringement of third-party rights

  • Fraudulent or misleading information

  • Breach of confidentiality

  • Violation of trade or regulatory requirements

This provision does not impose liability beyond what is permitted under applicable law and does not limit mandatory consumer protections.


29. Force Majeure

No party shall be responsible for delay or non-performance caused by events beyond its reasonable control, including:

  • Natural disasters

  • War or civil unrest

  • Epidemics or pandemics

  • Government measures

  • Port closures

  • Strikes

  • Transport interruptions

  • Energy failures

  • Internet or infrastructure outages

  • Cyberattacks not reasonably preventable

  • Export or import restrictions

The affected party should inform the other parties where reasonably possible and take appropriate steps to reduce the consequences.


30. Changes to These Terms

LOGINOUT may update these Terms to reflect:

  • Changes in law

  • New services

  • Technical developments

  • Security requirements

  • Changes to the platform

  • Operational requirements

The current version will be published on www.loginout.de.

Where changes materially affect registered users or existing contractual relationships, reasonable notice will be provided where required.

Changes will not retroactively alter completed transactions unless required by law or expressly agreed.


31. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany.

The United Nations Convention on Contracts for the International Sale of Goods is excluded unless the parties expressly agree otherwise.

For business users, the place of jurisdiction shall, where legally permissible, be Munich, Germany.

For consumers, statutory jurisdiction and consumer protection rules remain unaffected.


32. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions shall continue to apply.

For business users, the parties shall seek a lawful provision that most closely reflects the original commercial purpose.

For consumers, the applicable statutory provisions shall replace any invalid clause.


33. No Waiver

Failure by LOGINOUT to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.


34. Entire Agreement

These Terms, together with the policies and agreements expressly incorporated into them, form the applicable framework governing use of LOGINOUT.

Separate written agreements relating to specific products, projects, consulting assignments or transactions take precedence where they contain different provisions.
