Trust Begins Before the Transaction

At LOGINOUT, we believe that sustainable international business begins long before a product is shipped or a payment is made.

It begins with reliable information, visible responsibilities, transparent communication and the willingness of every participant to act with integrity.

This Buyer Protection Policy explains the principles, procedures and safeguards through which LOGINOUT seeks to create greater confidence between buyers, producers, suppliers and international business partners.

LOGINOUT connects people and businesses across countries and markets. Depending on the individual transaction, we may provide digital infrastructure, supplier information, documentation, communication tools, commercial introductions and operational support.

Unless expressly stated in a separate written agreement, this Policy does not constitute an insurance policy, payment guarantee, product warranty, escrow commitment or unconditional reimbursement promise.

Mandatory rights under applicable German and European law remain unaffected.

2. Purpose of this Policy

This Policy is intended to strengthen trust within the LOGINOUT ecosystem by promoting:

  • Transparent supplier information

  • Responsible product presentation

  • Verifiable business documentation

  • Clear commercial conditions

  • Secure communication

  • Responsible payment practices

  • Traceable logistics

  • Early identification of risks

  • Fair handling of complaints

  • Cooperation between buyers and suppliers

This Policy complements the LOGINOUT Terms and Conditions, Privacy Policy, Shipping Policy, Cookie Policy and Right of Withdrawal Policy.

Where a separate purchase agreement, supplier agreement or service contract contains different provisions, the specific agreement shall take precedence.


3. The Role of LOGINOUT

LOGINOUT operates as an international business platform and ecosystem connecting independent commercial participants.

Depending on the individual case, LOGINOUT may:

  • Introduce buyers and suppliers

  • Present supplier and product information

  • Organize or display documentation

  • Support communication

  • Facilitate requests for quotations

  • Assist with commercial coordination

  • Support payment or logistics processes

  • Help clarify questions or complaints

Unless LOGINOUT is expressly identified as the seller, service provider, importer, exporter or contracting party, the commercial contract is concluded directly between the buyer and the relevant supplier.

The identity and role of each contractual party should be clearly communicated before a binding transaction is concluded.


4. Supplier Identification and Verification

Trust requires knowing who stands behind an offer.

Where applicable and reasonably possible, LOGINOUT may request, review or verify information such as:

  • Legal company name

  • Company registration

  • Business address

  • Contact information

  • Identity and authority of representatives

  • VAT or tax information

  • Product portfolio

  • Production capacity

  • Export capability

  • Certifications

  • Corporate documentation

  • Business references

  • Bank or payment information

  • Relevant permits and licenses

LOGINOUT may restrict or refuse access to the marketplace where required information is incomplete, inconsistent, misleading or cannot reasonably be verified.

Verification reflects only the information and documents available at the time of review. It does not guarantee future financial stability, contractual performance, regulatory approval or product quality.

Buyers should continue to carry out appropriate independent due diligence.


5. Product Information and Transparency

Suppliers are responsible for ensuring that all product and service information is accurate, lawful, complete and current.

Depending on the product, relevant information may include:

  • Product name and description

  • Producer or manufacturer

  • Country and region of origin

  • Ingredients or composition

  • Quantity and packaging

  • Technical specifications

  • Intended use

  • Storage conditions

  • Shelf life

  • Certifications

  • Laboratory reports

  • Allergen information

  • Safety warnings

  • Minimum order quantity

  • Availability

  • Price or pricing basis

  • Delivery conditions

  • Product images

  • Export and import limitations

LOGINOUT may request clarification, corrections or additional evidence before information is published or forwarded to a buyer.

Photographs, illustrations and marketing materials must not create a misleading impression of the product.


6. Certifications and Supporting Documentation

LOGINOUT encourages suppliers to provide relevant documentation whenever available, including:

  • Technical data sheets

  • Product catalogues

  • Laboratory analyses

  • Organic certificates

  • Sustainability certificates

  • Certificates of origin

  • Phytosanitary documentation

  • Quality management documents

  • Traceability records

  • Export documentation

  • Inspection reports

  • Packaging specifications

  • Safety documentation

The supplier remains responsible for ensuring that each certificate or document:

  • Is authentic

  • Is current

  • Applies to the relevant company, facility or product

  • Covers the intended market

  • Is used within its authorized scope

  • Has not been altered or presented misleadingly

LOGINOUT may review documents but does not replace the issuing authority, certification body, laboratory or independent auditor.


7. Samples, Testing and Inspection

Before entering into significant commercial commitments, buyers may request:

  • Product samples

  • Laboratory testing

  • Quality inspections

  • Factory or farm visits

  • Independent audits

  • Packaging approval

  • Pre-shipment inspections

  • Batch-specific documentation

The scope, timing and cost of such measures must be agreed between the relevant parties.

Approval of a sample does not automatically guarantee that every later shipment will be identical unless the applicable contract defines tolerances, specifications and inspection procedures.


8. Prices and Commercial Conditions

Prices and conditions should be confirmed clearly before a transaction becomes binding.

Relevant commercial terms may include:

  • Product price

  • Currency

  • Taxes

  • Minimum order quantity

  • Production lead time

  • Packaging

  • Shipping costs

  • Insurance

  • Customs duties

  • Payment schedule

  • Delivery date

  • Applicable Incoterm

  • Inspection costs

  • Documentation costs

  • Return or complaint procedures

Unless expressly stated otherwise, general product presentations or marketplace listings may constitute invitations to request information or quotations rather than binding offers.


9. Payments and Financial Security

LOGINOUT encourages the use of recognized and traceable payment methods.

Depending on the transaction, parties may consider:

  • Bank transfers through recognized institutions

  • Documentary collection

  • Letters of Credit

  • Escrow solutions

  • Payment service providers

  • Contractually agreed milestone payments

  • Deposits linked to defined deliverables

The availability of a specific payment method depends on the parties, product, destination and payment provider.

Unless expressly confirmed in writing, LOGINOUT does not guarantee the solvency of a buyer or supplier, the recovery of funds or the performance of a commercial contract.

Where LOGINOUT provides a specific payment protection, escrow or refund service, the applicable conditions will be presented separately before the transaction.

Users should never make payments to bank accounts communicated through suspicious, inconsistent or unverified channels.

Any unexpected change of bank details should be independently confirmed before payment.


10. International Trade Compliance

International trade may involve legal requirements in several jurisdictions.

Suppliers and buyers are responsible for understanding and complying with all rules applicable to their activities, including:

  • Product safety

  • Food safety

  • Labelling

  • Packaging

  • Organic certification

  • Import permits

  • Export permits

  • Customs requirements

  • Sanitary and phytosanitary rules

  • Trade sanctions

  • Tax obligations

  • Environmental requirements

  • Local registration requirements

LOGINOUT may provide information or coordination support but cannot guarantee that an authority will approve a product, shipment or import application.

Professional legal, customs, tax or regulatory advice may be necessary before entering a new market.


11. Product Safety

Products offered through LOGINOUT must comply with applicable safety requirements.

Suppliers must not offer products that are:

  • Illegal

  • Unsafe

  • Counterfeit

  • Contaminated

  • Mislabelled

  • Subject to an undisclosed recall

  • Prohibited in the destination market

  • Presented with unsupported health or performance claims

Suppliers must promptly inform LOGINOUT and affected buyers if they become aware of:

  • A safety risk

  • A product defect

  • Incorrect labelling

  • Contamination

  • A regulatory warning

  • A suspension or withdrawal of certification

  • A product recall

LOGINOUT may suspend or remove an offer while the matter is reviewed.


12. Logistics and Delivery

Shipping terms must be agreed between the buyer and supplier or defined in the relevant transaction documents.

The parties should clarify:

  • Collection point

  • Port or place of delivery

  • Shipping method

  • Packaging responsibilities

  • Freight costs

  • Insurance

  • Export documents

  • Import documents

  • Customs clearance

  • Risk transfer

  • Delivery schedule

  • Inspection at destination

  • Procedure for damage or loss

International Commercial Terms should be stated clearly where applicable.

13. Receipt and Inspection of Goods

Buyers should inspect goods as soon as reasonably possible after delivery.

Depending on the transaction and applicable law, the buyer may need to:

  • Check quantity and packaging

  • Document visible damage

  • Compare the goods with the agreed specifications

  • Preserve delivery and transport documents

  • Take photographs

  • Notify the carrier

  • Notify the supplier

  • Retain samples where appropriate

  • Commission laboratory analysis

Complaint and inspection periods may be defined in the relevant contract.

Mandatory consumer rights and statutory rights relating to defective products remain unaffected.


14. Complaints

Where a buyer identifies a problem, the buyer should provide clear and complete information, including where available:

  • Order or transaction reference

  • Product and batch information

  • Description of the problem

  • Photographs or videos

  • Delivery documents

  • Laboratory or inspection reports

  • Date of discovery

  • Requested solution

LOGINOUT may assist by organizing communication and reviewing available documentation.

Possible commercial solutions may include:

  • Clarification

  • Replacement

  • Repair

  • Price reduction

  • Credit

  • Refund

  • Reinspection

  • Return of goods

The appropriate solution depends on the applicable contract, the role of the parties, the evidence available and mandatory law.


15. Dispute Support

LOGINOUT encourages buyers and suppliers to resolve disagreements through direct, respectful and documented communication.

Where appropriate, LOGINOUT may:

  • Clarify the positions of the parties

  • Request documents

  • Organize communication

  • Summarize the disputed points

  • Support the search for an amicable solution

Unless expressly agreed otherwise, LOGINOUT does not act as a court, arbitrator, certification body or legally binding dispute-resolution authority.

If no amicable solution is reached, the dispute must be resolved under the governing law and dispute-resolution mechanism agreed between the parties.


16. Fraud Prevention

LOGINOUT may take reasonable measures to prevent fraud and misuse, including:

  • Identity checks

  • Company verification

  • Document review

  • Account monitoring

  • Payment verification

  • Security warnings

  • Temporary account restrictions

  • Removal of suspicious content

  • Requests for additional evidence

  • Cooperation with competent authorities where legally required

Users should report suspicious conduct immediately.

Examples include:

  • False identities

  • Forged documents

  • Counterfeit certificates

  • Unexplained bank-account changes

  • Requests to bypass agreed payment procedures

  • Misleading product claims

  • Unauthorized use of company information

  • Attempts to move suspicious communication outside the platform


17. Account Measures

LOGINOUT may restrict, suspend or permanently remove an account where there are reasonable indications of:

  • Fraud

  • Illegal activity

  • Misleading information

  • Unsafe products

  • Repeated contractual misconduct

  • Misuse of personal or business data

  • Infringement of intellectual property

  • Threats to platform security

  • Failure to provide required verification

  • Serious violation of LOGINOUT policies

Where reasonably possible and legally appropriate, the user will be informed and given an opportunity to respond.

Urgent measures may be taken without prior notice where necessary to protect users, comply with law or prevent damage.


18. Independent Due Diligence

LOGINOUT supports transparency but does not replace professional due diligence.

Before concluding a significant transaction, buyers should consider independently reviewing:

  • Supplier identity

  • Financial capacity

  • Product suitability

  • Certifications

  • Technical data

  • Export experience

  • Import requirements

  • Contract terms

  • Insurance

  • Payment security

  • Applicable law

  • Dispute-resolution provisions

The depth of due diligence should reflect the value, complexity and risk of the transaction.


19. What Buyer Protection Does Not Mean

Unless a separate written service expressly states otherwise, this Policy does not mean that LOGINOUT:

  • Guarantees every supplier

  • Guarantees every product

  • Insures every transaction

  • Holds payments in escrow

  • Guarantees refunds

  • Guarantees delivery

  • Guarantees customs clearance

  • Replaces laboratory testing

  • Replaces legal or regulatory advice

  • Accepts responsibility for independent contracts

  • Assumes the duties of the manufacturer, seller, carrier or importer

The term “Buyer Protection” describes the transparency, verification, documentation and support principles applied within the LOGINOUT ecosystem.


20. Limitation of Liability

LOGINOUT remains liable where liability cannot lawfully be excluded or limited, including liability for intentional conduct, gross negligence, injury to life, body or health, fraudulent concealment, express guarantees and mandatory product liability.

Where LOGINOUT acts only as an intermediary, it is not responsible for the independent contractual performance of buyers, suppliers, manufacturers, carriers, inspection companies or other third parties.

In cases of ordinary negligence, LOGINOUT is liable only for breach of an essential contractual obligation whose fulfilment is necessary for proper performance and on which the user may ordinarily rely.

In such cases, liability is limited to the foreseeable damage typical for the relevant relationship.

Mandatory consumer rights remain unaffected.


21. Consumer Rights

Where a buyer is a consumer, mandatory rights under German and European consumer protection law remain fully applicable.

Nothing in this Policy limits statutory rights relating to:

  • Defective goods

  • Unsafe products

  • Incorrect deliveries

  • Withdrawal from eligible consumer contracts

  • Refunds required by law

  • Product liability

  • Unfair commercial practices

22. Continuous Improvement

Buyer protection is not a static promise.

LOGINOUT will continue to improve its procedures as the platform grows, including:

  • Supplier onboarding

  • Documentation standards

  • Product transparency

  • Risk identification

  • Payment processes

  • Logistics coordination

  • Complaint handling

  • Security controls

  • User education

  • International compliance

Our objective is to create a living system of responsibility in which trust grows through visible and verifiable actions.


23. Privacy and Confidentiality

Personal data is processed in accordance with the LOGINOUT Privacy Policy.

Commercial information exchanged during negotiations should be treated confidentially and used only for its intended purpose.

Users must not misuse:

  • Buyer information

  • Supplier contacts

  • Pricing

  • Product documentation

  • Business plans

  • Technical information

  • Personal data

  • Confidential correspondence

Separate confidentiality agreements remain unaffected.


24. Intellectual Property

All LOGINOUT texts, policies, platform structures, designs, graphics, logos, software concepts, documentation and visual elements are protected under applicable intellectual property laws.

Supplier and buyer intellectual property remains the property of the respective rights holder.

Users may not copy, publish, distribute or commercially exploit protected materials without authorization.


25. Changes to this Policy

LOGINOUT may update this Buyer Protection Policy to reflect:

  • Legal developments

  • New marketplace functions

  • Payment services

  • Verification procedures

  • Security requirements

  • Operational changes

  • Lessons from practical transactions
